Deal News | Mar 12, 2025 | Finance Community IT - 1 Corporate M&A

In December 2024, Valtecne, a high-precision mechanical company based in Italy, finalized the acquisition of a 60% stake in Utilità, a company specializing in the contract manufacturing of precision mechanical components with a strong foothold in dental and orthopedic sectors. The shares were sold by Utilità Group, owned by founders Andrea and Nicola Zamberlan. Valtecne was advised by Emintad Italy (Ethica Group) and ADVANT Nctm, with BDO Advisory Services and BDO Tax handling financial and tax due diligence. Utilità Group received advisory support from Valentina Zanella and SLT (Strategy Legal Tax). The acquisition, valued at €6.2 million, aligns with Valtecne's growth strategy outlined during their IPO for expanding capabilities in medical contract manufacturing and entering the aerospace sector. The deal includes a put option for Utilità Group to sell the remaining 40% stake between 2027 and 2029, and a call option for Valtecne exercisable after 2029 if the put option is not executed.
