UnitedHealth Faces Lawsuit Over Amedisys Acquisition

The United States Department of Justice has filed a civil antitrust lawsuit against the proposed $3.3 billion acquisition of Amedisys Inc. by UnitedHealth Group. This legal action is taken with the support of the Attorneys General from Maryland, Illinois, New Jersey, and New York. The lawsuit, filed in the District of Maryland, contends that the merger would reduce competition in the home health and hospice services sector. This follows UnitedHealth's earlier acquisition of LHC Group Inc. in 2023, which positioned the company as a significant player in this field. The lawsuit argues that diminished competition could adversely affect patients, insurers, and healthcare providers. Top DOJ officials, including Attorney General Merrick B. Garland, have voiced concerns over the merger’s potential impact on care quality and affordability, highlighting their mission to prevent unlawful consolidations in healthcare. The lawsuit also mentions a proposed divestiture strategy by UnitedHealth involving the VitalCaring Group, which DOJ views as inadequate. Civil penalties against Amedisys are also being sought for alleged compliance violations. UnitedHealth is based in Minnetonka, Minnesota, and Amedisys operates from Baton Rouge, Louisiana, both involved in extensive patient care activities last year.
