Sega Sammy to Finalize GAN Acquisition by May 2025

Sega Sammy Holdings is set to finalize its acquisition of GAN Limited by May 27, 2025. The deal, valued at $1.97 per share in cash, will result in GAN becoming a wholly owned subsidiary of Sega Sammy Creation, an affiliate of the Japanese entertainment and gaming conglomerate. This transaction, originally signed on November 7, 2023, requires final gaming regulatory approvals, which are expected to be obtained without additional shareholder approvals. Upon completion, GAN is set to be delisted from the NASDAQ exchange.
