Railsr Advises on Sale and Equals Group Acquisition

Mishcon de Reya, a leading London-based law firm, has successfully advised the shareholders of Embedded Finance Limited, known as Railsr, on its strategic sale. The firm further facilitated the involvement of these shareholders in a consortium alongside notable investors J.C. Flowers & Co. and TowerBrook Capital Partners. This consortium has effectuated the acquisition of Equals Group plc to the tune of £283 million. The acquisition offer for Equals Group has now been finalized, and the completion of the Railsr sale is forthcoming. Railsr specializes in Banking-as-a-service (BaaS) and cards-as-a-service (CaaS) platforms, which enable businesses to incorporate financial services seamlessly into their offerings. Mishcon de Reya’s legal team was spearheaded by Corporate Partner Saul Sender, with contributions from Lydia Kellett, Managing Associate Liam Closey, and Associate Alex Sandwell.
