PM & Partners Acquires Majority Stake in Montana

PM & Partners sgr, through its fund PM & Partners III, has entered into a binding agreement to acquire a majority stake in Montana, an engineering and environmental services company. Legal advisory support for PM & Partners was provided by Ughi e Nunziante, with Amon Airoldi and Deniz Kivage handling corporate M&A matters, while Gianluigi Pugliese and Anna Vanni focused on financing aspects. EY conducted fiscal due diligence and structured the tax operation, led by Quirino Imbimbo and his team. EY’s team, including Giovanni Grandini and Luca Troisi, also managed debt structuring. Business due diligence support was given by Arthur D. Little. Legal counsel for the sellers was provided by PedersoliGattai, with Giuseppe De Cola leading on corporate M&A and Andrea Scarpellini on employment matters. Advant Nctm, led by Luca Ferrari Trecate, handled fiscal aspects for the exiting shareholders. The deal is financed by Banca Popolare di Sondrio, assisted by Russo De Rosa Associati. The retained management team, including CEO Laura Conti, will continue managing Montana with a retained ownership of 35%. This acquisition marks the ninth transaction by PM & Partners III.
