Jeffs’ Brands Merges Fort Products with Impact Acquisitions

Jeffs' Brands Ltd, a data-driven e-commerce company listed on Nasdaq, has announced the execution of a definitive agreement to merge its subsidiary, Fort Products Limited, with Impact Acquisitions Corp., a capital pool company listed on the TSX Venture Exchange. Under the terms of the agreement, Impact Acquisitions will acquire 100% of Fort Products, with Jeffs' Brands receiving a controlling interest in Impact. The valuation for the merger stands at approximately $12 million, with specific conditions including the fair market value of Fort Products being no less than CAD 14 million. Regulatory approvals and due diligence processes are ongoing, with expectations to finalize the transaction by May 31, 2025. Impact Acquisitions will issue equity compensations to certain finders, which includes individuals related to Jeffs’ Brands' CEO.
