Icop Advances Acquisition of Atlantic Geoconstruction

Orrick has provided legal assistance to Icop, an engineering company listed on Euronext Growth Milan, in its agreement to acquire 100% of Atlantic Geoconstruction Holdings, a U.S.-based firm specializing in advanced geotechnical solutions. The acquisition will be executed through Icop Subsoil, a newly established wholly-owned subsidiary in the United States. The transaction is expected to close by April 2025, subject to standard closing conditions. Orrick's cross-border team, led by partners Fabio Fauceglia and Spencer Cohen, along with counsel Leonardo Pinta, senior associate Kyle Zhu, and associates Chiara Iannuzzi and Catherine Conners, handled U.S. law aspects of the due diligence process.
