Exprivia, an international group specializing in Information and Communication Technology (ICT), has announced the acquisition of 100% of the capital of the Present Group. This acquisition marks a significant step in Exprivia's external growth path as outlined in their industrial plan and comes after their recent exit from the Italian Stock Exchange. The integration of Exprivia and Present will form a key ICT player supporting the nation's digital transformation, with around 4,000 professionals and estimated pro forma revenues exceeding 320 million euros, a more than 50% increase. Exprivia was advised by Kitra Advisory, led by Giuseppe Rossano Latorre, with legal counsel by Clifford Chance, accounting diligence by BDO, and tax advice by Studio AndPartners. For Present, Intermonte acted as financial advisor, with legal and compliance support from Studio Paroli Fossa e Associati. The Present Group, with revenues of approximately 115 million euros in 2023 and over 1,200 employees, is rooted in Milan and Turin and operates in major Italian cities and London. It caters to key sectors like banking, automotive, insurance, and public administration. The merger aims to establish a technological innovation leader offering advanced solutions in cloud computing, CRM, IoT, and integrated cybersecurity. It reinforces Exprivia's strategic position in the ICT market, expanding geographic reach and project portfolio, particularly as a top SAP system integrator in Italy. Exprivia's President and CEO, Domenico Favuzzi, expressed that this acquisition begins a new phase of growth, integrating expertise that enhances their ability to innovate and meet digital transformation challenges. Present Chairman Antonio Giugliano and VP Giovanni Maggioni highlighted the strategic evolution and opportunities for skill development and market challenges provided by the merger.
