Expert.ai Boosts Expansion With Ised Acquisition and Capital Increase

Expert.ai, a company listed on the Euronext Growth Milan exchange and known for its AI solutions, has successfully acquired Ised (Ingegneria dei Sistemi Elaborazione Dati), a renowned Italian software house servicing public administrations and regulated sectors. The acquisition, valued at approximately €4.8 million, was facilitated entirely by Expert.ai's internal financial resources and involves reinvestment by Ised shareholders, showing confidence in the company's future growth plans. For the acquisition, Deloitte Financial Advisory served as the financial advisor to Expert.ai, while Lexia Avvocati provided legal counsel. On the other side, the sellers were supported by Studio Legale Scacchi and Studio Martinelli. The deal aims to integrate Ised's seasoned capabilities in digitalization, particularly in the healthcare sector, with Expert.ai's advanced AI platforms, thus broadening Expert.ai's market presence in public administration. Ised, with 59 employees, reported revenues of €8.8 million and an EBITDA of €1 million for 2024, showcasing growth driven by strategic reorganization. Additionally, Expert.ai announced a capital increase of nearly €20 million through the issuance of new shares, aimed at fortifying its capital structure and supporting further growth initiatives, including line extensions laid out in its 2024–2026 industrial plan. Notably, this includes a significant investment interest from its key shareholder Gum, which plans to subscribe a substantial portion of the capital increase.
