DOC Pharma, a leading Italian generic pharmaceutical company, has completed the acquisition of Geofarma's business division focused on the development and commercialization of nutraceutical supplements, particularly those targeting osteoarticular wellness. DOC Pharma, controlled by the US private equity giant TPG and partly owned by ICG, carried out the transaction through the establishment of a new company, DOC Nutra S.r.l., to which the business division was transferred, followed by the acquisition of DOC Nutra’s entire share capital. Bird & Bird provided corporate legal assistance to DOC Pharma, while Geofarma was assisted by Deloitte Legal for corporate matters and Deloitte STS for tax considerations. Virgilio Picca from Orienta orchestrated the industrial plan drafting.
