Dexelance Acquires 25% Stake in Roda with PwC's Assistance

Dexelance, a diversified industrial group listed on Euronext Milan, has signed a definitive agreement to acquire a 25% stake in Roda, overseen by the Roda Group. The remaining 75% will stay with the current Roda shareholders, who will continue to lead the company, maintaining management continuity. The transaction, anticipated to close by September 2025, involves an expenditure of 8.5 million euros by Dexelance—4.5 million euros for the purchase of the shares held by Roda shareholders and 4 million euros in capital increase aimed at accelerating Roda's product development, particularly internationally. PwC supported Dexelance in this transaction with a multidisciplinary team led by partner Elena Borghi. The agreement also includes reciprocal purchase and sale options allowing Dexelance to achieve a majority stake of 60% in Roda by 2028. This phased acquisition strategy, beginning with a minority equity stake, is poised to strengthen both entities' position in the high-end outdoor furniture market. The alliance marks a strategic turning point for Roda, further reinforcing its leadership in the outdoor sector and enabling international growth. With headquarters in Gavirate, Roda concluded its 2024 fiscal year with revenues of 31 million euros and an EBITDA of 4 million euros. Meanwhile, Dexelance ended 2024 with a 324.1 million euro turnover, reflecting a 4.3% increase year-over-year.
