Constantia Flexibles Acquires Majority Share in Aluflexpack

Constantia Flexibles, a major player in the global packaging industry and a portfolio company of One Rock Capital Partners, has completed its acquisition of a majority of shares in Aluflexpack AG. Constantia Flexibles, headquartered in Vienna, has secured 57% of Aluflexpack shares from Montana Tech Components AG and Xoris GmbH, while also settling a tender offer for the remaining public shares. This move involved a squeeze-out procedure, with Aluflexpack applying for delisting, contingent on a court decision. Aluflexpack, located in Reinach, Switzerland, is known for its flexible packaging solutions within the food and pharmaceutical sectors. The acquisition marks a strategic alignment between the two companies, focusing on product innovation, customer service expansion, and sustainability. Financial advisors Jefferies and MP Corporate Finance played key roles in the transaction, along with legal advisors Willkie, Farr & Gallagher LLP, Latham & Watkins LLP, Bär & Karrer, Walder Wyss, and Freshfields. The acquisition is expected to provide significant growth and synergy opportunities for both companies.
