Bialetti Acquired by Nuo Capital’s Octagon BidCo

Nuo Capital, through its vehicle Octagon BidCo, has successfully acquired 78.65% of Bialetti Industrie, a household products company with a strong presence in the coffee preparation market. This acquisition involved purchasing shares from Bialetti Investimenti, Bialetti Holding, and Sculptor Ristretto Investment, as communicated on April 16. Following the acquisition, Octagon BidCo is set to launch a mandatory public tender offer on the remaining Bialetti shares. The acquisition is part of a larger operation to refinance Bialetti's debt, reducing it from 98.6 million to 44.1 million euros, aided by a junior loan of up to 30 million euros from Illimity Bank and Amco, as well as a senior loan of up to 50 million euros led by Banco Bpm with other banks, and equity contributions from the holding company. In line with its strategy, Nuo Capital aims to uphold the cultural identity of Bialetti while fostering growth and maintaining independence. Nuo Capital has invested significantly in Italian companies, pursuing open organizational models and international market strategies.
