Aurora to Exit BluVet, Reinvests in Ca Zampa Expansion

NB Aurora, an Italian private equity vehicle listed on the Euronext MIV segment of the Italian Stock Exchange, has finalized the sale of its entire stake in BluVet to Ca’ Zampa. This divestment is part of a broader agreement to sell 100% of BluVet's share capital, with a concurrent reinvestment in the new group to support growth plans. Aurora, alongside co-investment funds, has exited its approximately 68.5% stake for roughly €39 million. Of this, Aurora's share is around €16 million. Subsequently, Aurora reinvested approximately €9 million, with €5 million attributable to Aurora, as part of a capital increase in Ca’ Zampa, acquiring a minority stake post-transaction. F&P Equity Partners, involved through a separate investment vehicle, has also sold its entire stake but will not retain an interest in the new company. Financial advisory was provided by Vitale and legal advice by ADVANT Nctm for the sellers. The acquirers, Ca’ Zampa, received financial due diligence services from EY, and M&A advisory from Deloitte Financial Advisory. The legal aspects of the capital increase were handled by Studio Legale Carnelutti. Ca' Zampa, an Italian veterinary group, is expanding through both acquisitions and the establishment of new operations. The company is promoted by Italian entrepreneurs, investors, and G Square Capital. BluVet, co-founded by Roberto Del Maso and Cecilia Accampi, had grown through the acquisition of over 25 veterinary clinics since 2020, recording revenues of around €33 million in 2023.
