Audensiel Concludes Purchase Agreement with Bp Holding and Bb Holding

French consulting firm Audensiel has signed agreements to acquire a 54.43% stake in Italian systems integration and software development company Fos, which is listed on Euronext Growth Milan. The acquisition agreement was formed through separate contracts with Bp Holding and Bb Holding. BonelliErede served as legal advisors to Audensiel, led by partners Eliana Catalano and Gianfranco Veneziano. The acquisition agreement intends to eventually lead to a mandatory public tender offer to delist Fos, post-completion of the suspensive conditions outlined in the contracts. As part of the deal, Bp Holding has committed to reinvest part of its proceeds into a new company formation. Fos's continuity in leadership will be maintained by existing managers, Gian Matteo Pedrelli and Enrico Botte, while Brunello Botte will serve in a consultancy role. Lca Studio Legale advised Bp Holding and Bb Holding with a team led by partner Benedetto Lonato.
