Anima Holding is the target of a voluntary public acquisition offer launched by Banco BPM Vita, a subsidiary of Banco BPM. The offer aims to acquire all shares of Anima Holding with the goal of delisting the company. Commencing on March 17, 2025, the offer is subject to certain conditions which, if met or waived, will result in Banco BPM Vita paying €7 per share to shareholders who tender their shares. The maximum potential outlay for Banco BPM Vita is estimated to be approximately €1.7 billion. A&O Shearman is providing advisory services to Anima Holding and its independent directors.
